Terms of Service

The Latent.NYC platform is operated by Latent.NYC, referred to in these Terms as "we" and "us". These Terms of Service govern your use of Latent.NYC. By requesting access, signing in, or using the platform, you agree to them. If you are using Latent.NYC on behalf of a company or other organization, you are agreeing on its behalf and confirming that you are authorized to do so.
What matters most here
- The platform is an analytical tool, not a professional service. Using it does not make us your broker, appraiser, lawyer, or advisor. Our affiliates may separately offer services, under their own agreement.
- Scores are estimates, not determinations. They are built on public data that contains errors and lags. Do not close a transaction on the strength of a score.
- You may share a report with your advisors and the counterparties to that deal. You may not scrape the platform, resell our data in bulk, or use our outputs to build a competing product or model.
- We are in private beta. Features will change, things will break, and there is no uptime commitment.
This summary is for orientation only. The numbered sections below are the operative terms.
1Private beta
Latent.NYC is in a private, invitation-only beta. Access is personal to you and is not transferable. Do not share your credentials or let anyone else use your access.
We may change, suspend, or withdraw any part of the platform at any time, with or without notice. There is no service level commitment, no uptime guarantee, and no guarantee that data you generate will be preserved. Treat this as a preview of a product, not a system of record.
2Eligibility
You must be at least 18 years old to use Latent.NYC. The platform is intended for business and professional use, and is not designed for personal, household, or consumer purposes.
3What Latent.NYC is, and what it is not
The Latent.NYC platform reads public and commercial real estate data and applies our own models to produce scores, flags, and reports about development potential in New York City. The platform itself is informational.
The platform is not:
- A real estate broker, or a brokerage service
- An appraisal, valuation, or opinion of value for lending, tax, litigation, or transaction purposes
- Legal, tax, engineering, architectural, environmental, or investment advice
- A title search, a lien search, or a survey
- A zoning determination, a certification, or any statement of what a governmental agency will permit
- An offer or a solicitation to buy, sell, finance, or invest in anything
The last point is about the platform. Scores, flags, and automatically generated reports are informational output, and nothing the platform produces is an offer, a solicitation, or a recommendation to transact.
Services offered separately by our affiliates
Latent.NYC is affiliated with Latent Urban Ventures. LUV and other affiliates may separately offer advisory, brokerage, investment, financing, development, or consulting services, propose introductions, or approach you about a specific opportunity, transaction, or acquisition.
Anything of that kind is separate from the platform and separate from these Terms. It would be governed by its own agreement, and it does not become part of these Terms because you also use the platform. Nothing in this section limits an affiliate's ability to contact you about an opportunity, and nothing in it obliges you to engage with one.
Using the platform does not by itself create a brokerage, agency, advisory, fiduciary, or attorney-client relationship between you and us. No such relationship exists unless we have agreed to it separately, in a signed writing.
4Accuracy, data sources, and reliance
Latent.NYC is built on public and third-party data, including PLUTO tax lot records, Department of Buildings filings, zoning maps, recorded sales, and comparable sources. That data contains errors, omissions, and stale records, and we do not control it. Our scores apply models and assumptions on top of it.
It follows that:
- Scores are estimates, not determinations. A score is a ranking signal. It is not a statement of what can lawfully be built on a lot.
- Development rights and program eligibility are legal questions. Whether a site qualifies under City of Yes provisions, 467-m, 485-x, or any other program is a determination only the relevant agency can make, on advice from your own counsel.
- Figures may be out of date. Rules change, and our data refreshes on a lag.
- Do not rely on Latent.NYC to make, price, finance, or close a transaction. Verify independently with counsel, a surveyor, an appraiser, and the applicable agencies before you act.
You are solely responsible for any decision you make, and any action you take, on the basis of anything you find here.
5Acceptable use
You may use the platform for your own or your organization's business purposes.
Sharing an individual report
You may share an individual property report, for a specific property you are actually working on, with your colleagues, your own advisors, and the counterparties to that matter, including lenders, investors, capital partners, joint venture partners, buyers, and sellers. You do not need our permission to do that.
That permission is per property and per transaction. It is not a license to pass reports around in volume, to supply reports as a substitute for someone obtaining their own access, or to redistribute our data generally.
You may not:
- Scrape, crawl, bulk download, or systematically extract data, scores, or reports
- Access the platform by automated means, other than a standard web browser
- Resell, redistribute, sublicense, or publish our scores, reports, or datasets, beyond the per-property sharing described above
- Share reports systematically, in volume, or as a standing substitute for the recipient's own access
- Use the platform or its outputs to build, train, or improve a competing product, model, or dataset
- Reverse engineer, or attempt to derive, our scoring methodology, weights, or models
- Share your account, or allow anyone else to use your access
- Circumvent access controls, rate limits, or the invitation gate
- Use the platform in violation of any law, including fair housing, anti-discrimination, and privacy laws
- Use the platform to harass a property owner, a tenant, or an occupant
We may suspend or terminate access for any of the above.
6Your content
You keep ownership of the information you submit. You grant us a non-exclusive license to use it to operate, support, and improve the platform, as described in our Privacy & Data Policy. That policy limits what we may do with your activity, and those limits apply here too.
7Our intellectual property
The platform, the Latent Value Index and our other scores, the underlying models and weights, the reports, the interfaces, and the Latent.NYC name and marks belong to us or to our licensors.
The underlying public records are not ours and we claim no ownership of them. Our compilation, scoring, analysis, and presentation of them is ours.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the platform in accordance with these Terms. Nothing else is granted, by implication or otherwise.
8Feedback
If you send us feedback, suggestions, or ideas about the product, we may use them freely and without obligation or compensation to you. We would rather hear it than not.
9Third-party data and services
Some data and functionality comes from third parties and may be subject to their own terms. We do not control it and do not warrant it. Your use of a third-party service through Latent.NYC is between you and that provider.
10Disclaimer of warranties
THE PLATFORM, AND ALL SCORES, REPORTS, AND DATA MADE AVAILABLE THROUGH IT, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED.
11Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LATENT.NYC AND ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) ONE HUNDRED U.S. DOLLARS.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12Indemnity
You will indemnify and hold harmless Latent.NYC and its affiliates from any claim, loss, or expense, including reasonable legal fees, arising out of your use of the platform in breach of these Terms, or in violation of law or the rights of a third party.
13Suspension and termination
You may stop using the platform at any time. We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms or where we decide to change or discontinue the beta.
Sections that by their nature should survive termination will survive, including Sections 3, 4, 7, 10, 11, 12, and 15.
14Changes to these Terms
We may update these Terms. The updated version will be posted here with a revised date. For material changes, we will give notice by email or in the product before they take effect. Continuing to use the platform after that means you accept the revised Terms.
15Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to the jurisdiction of those courts.
16Miscellaneous
These Terms, together with the Privacy & Data Policy, are the entire agreement between you and Latent.NYC regarding the platform, and replace any prior understanding on the subject.
If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, or sale of assets.
